Authorized Agent Agreement
This agreement describes the terms and conditions for participation in the Authorized Agent affiliate program. In this agreement, the term “Affiliate” refers to you (the applicant). In this agreement, “Agent” refers to Net Live, Inc., an Ontario Corporation , with whom you are entering this agreement. By applying to the Authorized Agent program you are confirming that you have read the agreement and agree to the terms and conditions.
Affiliate Programs
There are two types of Affiliate programs with Authorized Agent: one-time and recurring.
Rewards
For a sale to generate a reward to an Affiliate, the customer have used a coupon, link, or ad click that is linked to the affiliate. Rewards will only be paid on sales that are made when the customer clicks through qualified, correctly structured Affiliate links. Properly coded links are the sole responsibility of the affiliate. Rewards can be viewed on the Affiliate Dashboard. If the Affiliate is on a one-time payment option, they will receive a reward for each new signup.
If the Affiliate is on a recurring payment schedule, they will continue to accumulate rewards for each paid transaction by the customer for as long as the customer remains a paying customer. For Affiliates participating in the recurring program, rewards will also accumulate for plan upgrades and adding users.
Authorized Agent members will receive an ongoing percentage of 5% (excluding taxes) of the recurring amount of all referred customers. This amount will be used to lower the members monthly bill and or be paid to the member on a monthly payment.
Example #1
Authorized Agent member signs up 5 referrals that have $100 / month service. The Authorized Agent member will receive 5% or 5 X $100 X 5% = $25 reward per month for all successfully paid referrals. The $25 will come in the form of a payment.
Example #2
Authorized Agent member signs up 35 referrals that have $100 / month service. The Authorized Agent member will receive 5% or 35 X $100 X 5% = $175 reward per month for all successfully paid referrals. If the Authorized Agent member monthly service is less than the reward they will receive their services for no charge and receive a payment for the difference. Example Monthly bill was $100 now $0 and $75 payment sent to Authorized Agent members.
Payment
An Affiliate can request a payment when their balance reaches a minimum balance of $25 CAN. Payments can be requested every 30 days. Payment processing can take up to 30 days from the request date. Payments will generally be paid out via PayPal. Payments are processed in and around the 20th of the month.
Refunds
In the event a customer requests a refund for a transaction for which the Affiliate has earned rewards, any rewards earned on the refund amount will be deducted from the Affiliate’s balance.
Usage and Obligations
Affiliates are permitted to use the Net Live brand and marketing resources available in the Affiliates section of the Authorized Agent application. Logos and other assets cannot be modified. The Affiliate does not gain any trademark, copyright or any other rights to these materials.
The Affiliate will never imply that they are acting on behalf of Net Live . The Affiliate will never bid for advertisements that compete with Net Live.
The Affiliate will never represent themselves, Authorized Agent or their relationship with Authorized Agent in a false or misleading way. The Affiliate will not engage in the distribution of an unsolicited bulk email (spam) mentioning or referencing Authorized Agent.
Term and Termination
Either party has the right to terminate the agreement immediately without prior notice.
If the Authorized Agent terminates the agreement, no further rewards from Authorized Agent will be paid for any past or future customer transactions.
If Authorized Agent chooses to terminate the agreement, any balance greater than $25 USD will be paid to the affiliate within 60 days of termination. Balances that are smaller than $25 will be forfeited.
Authorized Agent agrees that they are to stay a customer of Net Live to receive rewards both 1 time and recurring. In the event of canceling service for any reason the rewards are forfeited. If the Affiliate is on a recurring program, Authorized Agent will not be obligated for any future payments after termination.
Governing Law
This Agreement shall be governed, construed, and enforced in accordance with the laws of the province of Ontario.
Arbitration
All claims and disputes arising under or relating to this Agreement are to be settled by binding arbitration in the Province of Ontario. An award of arbitration may be confirmed in a court of competent jurisdiction.
Modification
We may modify any of the terms and conditions within this Agreement at any time and at our sole discretion. These modifications may include, but not limited to changes in the scope of available rewards, reward schedules, payment procedures and Affiliate Program rules.
