the initial rate plan, the amount or the commission paid will either be

Net Live is noted in paragraphs (2) below.
1.4 Net Subscriber schedules are based on combined carrier activation’s in
Agent’s Territory (ies) defined in Schedule “A”. Net Subscriber is
defined as monthly gross new subscriber activation’s less 180-day
deactivations “Subscriber” is defined as those who have not subscribed
to Net Live Service within the 6 months immediately preceding the
commencement of service.
1.5 Net Live reserves the right to pay reduced commissions on activation’s
associated with the customers purchase of discounted equipment or
discounted airtime packages. In addition, commissions are paid on
activation’s involving Net Live authorized discounts or promotions,
when the customer actually receives that discount.
1.6 Although commissions for new subscribers are paid monthly on this
schedule, commissions are actually earned after the subscriber has

Any subscriber terminations within the first six months of service will
result in forfeiture of Agent commission and will be adjusted on
following month’s commission payment. No partial commission payments
will be made for new subscribers Who do not fully meet this rule.
2 Initial Commissions /Residual Schedule
2.1 Agent shall be paid Initial commissions solely on the amount of the
monthly access charge of the rate plan sold to the Subscriber. Residuals are
paid to active agents in good standing only. An agent that does not meet the
standards of this agreement or is no longer part of the Net Live organization for
any reason is not entitled to receive residuals.
Month to Month Subscribers Residual
Residual amount 5%
Customers that are successful in activating the premium, finance or leases programs
and put their 3 year program on the respected program (finance, lease or other) will
receive the residual amount as specified above for the full term up front. Note that
residual(s) bonuses and such may be charged back if a customer cancels the account
for any reason. Amounts are paid to the agent up front but the customer has the
to cancel early. In the event of early cancellation the months that were not charged
or forgiven the advanced commissions are to be repaid to Net Live. The 6 month
cancellation program also apply to this type of customer.
Program example. Customer signs up for a premium and has $113 per month
payment tax included before tax it is $100 and signs for a 36 month term. The
customers commitment is 36 month X $100 or a total of $3,600 plus tax. On this
plan you would receive an up front commission of $3,600 X 5% = $180.00 (plus
any activation and bonuses.) $50 for internet activation. Therefore in this senecio
the total commission would be residual and bonuses $180 +$50 = $230.00 After
36 month term agent will continue to receive residuals and can sign customer up for
another term or the customer is charged monthly and the residual will be based the
same as all other monthly customers.
*Residual is calculates the total monthly payment less taxes times the residual
amount. If the customers payment was $100 before tax you would receive $5
per month for every month that we receive payment. Delinquent customers
residuals will be paid in the period that they are collected , if collected.
Residuals are paid on good standing up to date customers only.

and all future residuals.
2.3 IMPORTANT It is important that our Agents are maintaining a minimum sales
quota to maintain receiving their residual income. Residual income will continue
monthly as long as the minimum new activation quota of 3 new activations per
month is maintained. In the event that the number of new activations is below
the minimum the Agent will have 90 days to bring the new activations number up
to the minimum or forfeit all future commissions. We want active Agents working
with our company and this ensures this.
